5.1 Ownership of Onwork Content
Unless otherwise indicated, Onwork and its licensors own all rights, title, and interest in and to the Site and all content and material provided on or through the Site. This includes, but is not limited to, the text, graphics, logos, button icons, images, audio clips, videos, software, databases, downloadable toolkits, AI-generated tools or resources, and the compilation and arrangement of such materials (collectively, "Onwork Content"). Onwork Content is protected by copyright, trademark, and other intellectual property laws. All Onwork trademarks, logos, and brand elements displayed on the Site are the property of Onwork or its affiliates and are protected by law. You are not granted any right or license to use any Onwork trademarks without our prior written consent.
5.2 Limited License to Users
Onwork grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Site and Onwork Content for your own personal or internal business purposes, in accordance with these Terms. This means you may view, download, and print materials from the Site (such as free business toolkits or resources) solely for legitimate use in your business or personal informational needs. However, you must not:
- Copy, reproduce, modify, publish, distribute, publicly display, or create derivative works of any Onwork Content beyond what is expressly permitted by us;
- Remove, obscure, or alter any copyright, trademark, or other proprietary notices on the Site or any Onwork Content;
- Use any Onwork Content in a manner that suggests an association with any of our products, services, or brands without our prior written approval;
- Sell, resell, or commercially exploit any portion of the Site or Onwork Content without permission.
All rights in and to the Site and Onwork Content that are not expressly granted to you in these Terms are reserved by Onwork and its licensors. Nothing in these Terms transfers any ownership of intellectual property to you.
5.3 Third-Party Content
The Site may contain content, tools, or links provided by third parties. All rights relating to third-party content belong to their respective owners, and such content is subject to any license terms or use guidelines provided by those owners. Onwork does not claim ownership of third-party content and provides such links or content for convenience only. We are not responsible for any third-party websites or resources, and your use of third-party content may be subject to additional terms from those parties.
6. User Content and Conduct
6.1 User Content Definition
If the Site allows you to upload, submit, store, or share any content or materials (such as text, images, files, data, or other information) ("User Content"), you retain any intellectual property rights that you hold in that User Content. Onwork does not claim ownership of your User Content. However, by providing or uploading User Content on the Site, you grant Onwork a worldwide, royalty-free, non-exclusive, sublicensable, and transferable license to use, reproduce, host, store, modify, create derivative works of, communicate, publish, publicly display and distribute your User Content as necessary for us to provide the Site and our services to you and other users.
6.2 Your Responsibilities for User Content
You are solely responsible for all User Content that you upload or submit and for ensuring that your User Content (and your conduct in relation to any content) complies with these Terms and all applicable laws. By uploading or sharing any User Content, you represent and warrant that:
- You have all necessary rights, licenses, or permissions to upload and share the User Content and to grant Onwork the license above;
- Your User Content does not infringe or violate the intellectual property, privacy, publicity, or other rights of any third party;
- Your User Content is not unlawful, confidential to a third party, fraudulent, defamatory, obscene, harassing, or otherwise harmful or objectionable;
- Your User Content does not contain viruses, malware, or any harmful code, and it will not damage or interfere with the Site or others' systems.
6.3 Monitoring and Removal
Onwork is not obligated to monitor User Content, and we do not routinely review all User Content posted on the Site. However, we reserve the right (but do not assume the obligation) to review, screen, remove, or disable access to any User Content at our discretion, at any time, without notice, if we believe in good faith that it violates these Terms or applicable law, or for any other legitimate reason. Onwork may also terminate or suspend your account for serious or repeated violations.
6.4 No Endorsement
Onwork does not endorse any User Content, and User Content posted by others does not reflect the opinion or policies of Onwork. If you choose to use or rely on any User Content from other users, you do so at your own risk.
6.5 Backup of User Content
You are responsible for maintaining copies or backups of your User Content. Onwork will take reasonable measures to protect User Content on our systems as described in our Privacy Policy, but we cannot guarantee that content will never be lost or corrupted. We encourage you to keep backup copies of any data or materials you store on the Site, especially important business data.
7. Free Tools and AI-Generated Content
Onwork may provide free downloadable business toolkits, AI-generated tools, resources, or content on the Site (collectively, "Free Tools and AI Content") to assist you in managing or growing your business. This may include, for example, business plan templates, financial calculators, checklists, guides, or content generated by artificial intelligence features. While we strive to make these resources helpful, it is crucial that you understand and agree to the following terms governing their use:
7.1 "As-Is" Informational Purpose
All Free Tools and AI Content are provided for general informational and convenience purposes only. They are not tailored to your specific circumstances and do not constitute professional advice (business, financial, legal, or otherwise). You should not solely rely on any output from these tools or content without independent verification or consulting qualified professionals.
7.2 No Warranties for Accuracy or Completeness
Free Tools and AI Content are provided "as is" and without any warranty that they are correct, accurate, complete, or up-to-date. Onwork makes no guarantees that any calculations, suggestions, templates, or information provided by these tools are accurate or suitable for your needs. AI-generated content, in particular, may sometimes produce incorrect, misleading, or biased results, or omit important information. You use these tools and content at your own risk.
7.3 No Liability for Decisions
Onwork accepts no liability for any errors or omissions in the Free Tools and AI Content, nor for any outcomes, losses, or damages resulting from your use of or reliance on them. Any business decisions you make based on information or results obtained from the Site's tools or content are made solely at your own discretion and risk.
7.4 User Responsibility
You are solely responsible for how you use or implement the results from any Free Tools and AI Content. Always use your own judgment and consider seeking advice from qualified professionals (such as accountants, lawyers, or business advisors) before making significant decisions.
7.5 License and Use of Toolkits
Subject to Section 5 (Intellectual Property) above and the limitations herein, Onwork grants you a limited license to download and use the free toolkits and resources for your personal or internal business use. You may customize and use these templates or checklists within your own business operations. However, you must not sell, publish, or distribute these materials (or any substantial portions of them) to others without Onwork's prior written consent.
7.6 Updates and Changes
Onwork may update, improve, or discontinue any Free Tools and AI Content at any time without notice. We do not guarantee the continued availability of any particular tool or resource.
7.7 Acknowledgment
By using any Free Tools and AI Content, you acknowledge and agree that these resources are experimental and auxiliary in nature. Onwork has disclaimed all warranties and liability for these tools as set out in this Section and in Section 8 (Disclaimers of Warranties) and Section 9 (Limitation of Liability) below. If you do not agree to these terms regarding the Free Tools and AI Content, do not use or rely on them.
8. Disclaimers of Warranties
8.1 "As Is" and "As Available" Basis
Onwork provides the Site and all services, information, Content, Free Tools, AI Content, and other features of the Site on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Onwork disclaims all warranties and representations, express, implied, or statutory, regarding the Site and its content. This includes, without limitation, any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties that may arise from course of dealing or usage of trade. We make no warranty or guarantee that the Site or any content on it (including User Content and AI-generated content) is accurate, complete, reliable, current, or error-free.
8.2 Functionality and Availability
Onwork does not warrant that the Site or any features will be uninterrupted, timely, secure, or free of errors, viruses, or other harmful components. We do not warrant that any defects or errors will be corrected. We do not guarantee that the Site will be compatible with your devices or that it will meet your expectations.
8.3 No Warranty for Results
Onwork makes no promises or warranties that your use of the Site or any tools will lead to any particular outcome or results for you or your business. Any success or benefit you obtain by using our Site depends on many factors outside our control, and Onwork is not responsible for your success or failure in using the resources provided.
8.4 Third-Party Services and Links
Any third-party platforms or services that integrate with the Site, or any third-party links or content found on the Site, are not under Onwork's control. We provide access to these third-party features or links "as is" for convenience, but we make no warranties or endorsements regarding them.
8.5 Jurisdictional Notice
Some jurisdictions do not allow the exclusion of certain warranties or conditions. If you are entitled to the benefit of certain non-excludable warranties under law (for example, certain statutory warranties under the Australian Consumer Law), nothing in these Terms is intended to override your rights under those laws.
9. Limitation of Liability
9.1 No Indirect Damages
To the maximum extent permitted by applicable law, Onwork and its directors, officers, employees, agents, affiliates, and suppliers shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising out of or in connection with your use of (or inability to use) the Site or any content or services provided through it. This exclusion of liability applies to any loss of profits, loss of business opportunities, loss of data, business interruption, or other intangible losses, even if we have been advised of the possibility of such damages.
9.2 Cap on Liability
To the extent permitted by law, Onwork's total cumulative liability to you for all claims arising from or related to the Site or these Terms shall not exceed the greater of: (a) the total amount (if any) you have paid to Onwork for use of the Site or any services in the 12 months immediately preceding the event giving rise to the liability; or (b) AUD $100.
9.3 Release of Claims
You agree that Onwork will not be liable to you or any third party for any damage, loss, or injury resulting from your access to or use of the Site, including but not limited to reliance on any Free Tools or AI Content, any decisions you make based on information obtained on the Site, any interactions you have with other users, or your inability to access the Site. You expressly waive and release Onwork from any and all liability, claims, or causes of action that you may have against us arising out of or in connection with your use of the Site or these Terms.
9.4 Application of Limitations
The limitations and exclusions of liability in this Section 9 apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or any other legal theory. They will apply even if any limited remedy in these Terms fails of its essential purpose.
9.5 Australian Consumer Law Notice
Nothing in these Terms is intended to exclude, restrict, or modify any rights you may have under the Competition and Consumer Act 2010 (Cth) (including the Australian Consumer Law) or any other applicable legislation which may not be excluded, restricted, or modified by agreement. If the Australian Consumer Law or any other law implies a guarantee or term into these Terms that cannot be excluded, then to the extent permitted by law, Onwork's liability for breach of such a guarantee or term is limited, at Onwork's option, to: (a) re-supplying the services or content to you; or (b) paying the cost of having the services or content supplied again.
10. Indemnification
You agree to indemnify, defend, and hold harmless Onwork, its parent, affiliates, and their respective directors, officers, employees, and agents, from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees and costs) that arise out of or relate to: (a) your use or misuse of the Site or any services or content (including Free Tools and AI Content); (b) your violation of any provision of these Terms; (c) your violation of any law or regulation or any rights of another (including intellectual property rights or privacy rights); or (d) any User Content you upload or provide that infringes or misappropriates any rights of a third party or is otherwise illegal or tortious.
Onwork reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and if we do so, you agree to cooperate with our defense of such claim. You agree not to settle any such matter without the prior written consent of Onwork. This indemnification obligation will survive termination of your account or these Terms.
11. Termination and Suspension
11.1 By Onwork
Onwork may, in its sole discretion, suspend, restrict, or terminate your access to the Site or your account (if you have one) at any time with or without notice if we have reason to believe that: (a) you have violated these Terms or any applicable law; (b) you have engaged in fraudulent, inappropriate, or offensive behavior; (c) you have misused the Site or caused potential harm or risk to Onwork, other users, or any third party; or (d) we decide to discontinue the Site or any part of it.
11.2 By You
You may terminate your own account at any time if you no longer wish to use the Site. You can do this by following the account closure process (if available on the Site) or by contacting us in writing with a request to delete your account.
11.3 Effect of Termination
Upon termination of your access or account for any reason, your right to use the Site will immediately cease, and you must stop all use of the Site and any Onwork Content. Any licenses granted to you under these Terms will end. Onwork may, at its discretion, remove or delete your User Content and data associated with your account, subject to applicable law and our Privacy Policy.
11.4 Survival
Any provisions of these Terms which by their nature should survive termination (including but not limited to provisions regarding intellectual property, warranties disclaimer, limitation of liability, indemnity, and governing law) will continue to remain in effect after your access to the Site has been terminated.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms, and any disputes arising out of or relating to these Terms or your use of the Site, are governed by the laws of New South Wales, Australia, excluding any conflict-of-laws principles that would cause the laws of another jurisdiction to apply. If you access or use the Site from outside Australia, you do so on your own initiative and are responsible for compliance with local laws, if and to the extent local laws are applicable.
12.2 Jurisdiction
You agree that any dispute, controversy, or claim arising out of or relating to these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia. By using the Site, you irrevocably consent and submit to the personal jurisdiction of such courts for resolving any such disputes.
12.3 Dispute Resolution Efforts
Before formally litigating any dispute, we encourage you to contact Onwork at legal@onworkapp.com to discuss the issue and seek resolution informally. We will attempt in good faith to resolve any disputes or concerns through negotiation.
12.4 Injunctive Relief
Notwithstanding the above, you acknowledge that a breach of certain provisions of these Terms (such as misuse of our intellectual property or unauthorized access to the Site) may result in irreparable harm to Onwork for which monetary damages would not be an adequate remedy. In such cases, Onwork may seek injunctive or equitable relief in any jurisdiction to protect its interests, in addition to any other remedies available at law.
13. Changes to the Site
Onwork is constantly improving and evolving the Site to better serve our users. Thus, we reserve the right to change, suspend, or discontinue any aspect of the Site or the services we offer at any time, including the availability of any feature, database, Free Tool, or content. We may also impose limits on certain features or restrict your access to parts or all of the Site without notice or liability. We will not be liable if, for any reason, all or part of the Site is unavailable or modified at any time.
14. Miscellaneous Provisions
14.1 Entire Agreement
These Terms (along with any additional terms or policies expressly referenced herein, such as our Privacy Policy) constitute the entire agreement between you and Onwork regarding the use of the Site, and they supersede all prior or contemporaneous communications, agreements, or understandings (whether oral or written) relating to the subject matter.
14.2 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision will be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.
14.3 No Waiver
No failure or delay by Onwork to exercise any right, power, or remedy under these Terms shall operate as a waiver of that right, power, or remedy. Similarly, Onwork's waiver of any breach or provision of these Terms is not a waiver of any other breach or provision.
14.4 Assignment
You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without Onwork's prior written consent. Any attempt to do so without consent will be null and void. Onwork may assign or transfer its rights and obligations under these Terms to an affiliate or in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
14.5 Relationship of Parties
You and Onwork are independent contracting parties. These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship. You do not have any authority of any kind to bind Onwork in any respect.
14.6 Force Majeure
Onwork will not be liable for any failure or delay in performance of its obligations under these Terms if such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, fire, flood, earthquakes, war, terrorism, civil unrest, strikes or labor disputes, internet or power outages, or governmental actions.
14.7 No Third-Party Beneficiaries
These Terms are for the benefit of you and Onwork (and permitted successors and assigns) only. Except as expressly provided in these Terms, no third party has any rights to enforce any term of these Terms.
14.8 Notices
We may provide you with notices (including legal notices) by email to the address associated with your account, by postal mail, or by posting them on the Site. Notices emailed to you will be deemed given and received on the transmission date of the email. You are responsible for keeping your contact information (including email address) current. If you need to give notice to Onwork, you must do so in writing via email to legal@onworkapp.com or via registered postal mail to our mailing address.
14.9 Headings and Interpretation
